These Terms and Conditions “Terms” govern your access to and use of the websites, services, programs, trainings, events, consulting services, content, resources, and related offerings provided by The Human in Charge LLC, a company owned by Social Training Company Co. “The Human in Charge,” “Company,” “we,” “our,” or “us.”
By accessing our websites, purchasing our services, registering for an event, joining a program, downloading a resource, attending a training, communicating with us, or otherwise using our services, you agree to these Terms and our Privacy Policy.
If you do not agree to these Terms, you should not access or use our websites, services, programs, or materials.
These Terms apply unless a separate written agreement, service agreement, client agreement, order form, invoice, event agreement, or checkout page provides different or additional terms. If there is a conflict, the more specific written agreement or purchase terms will control.
1. Company Information
The Human in Charge LLC is owned by Social Training Company Co. Social Training Company Co. may provide personnel, administrative, operational, accounting, marketing, technical, management, and business support to The Human in Charge LLC.
These Terms apply to websites, services, programs, communications, trainings, events, consulting services, and materials operated by The Human in Charge LLC, including business operations supported by Social Training Company Co.
This structure is more accurate than the original Terms, which led primarily with Social Training Company Co. and treated The Human in Charge as a brand underneath it.
2. Our Services
The Human in Charge provides business consulting, AI implementation support, workflow design, trainings, events, intensives, educational resources, group programs, private consulting, office hours, community access, and related services.
Our services may include AI implementation strategy, business operations consulting, workflow and automation support, training programs, executive intensives, webinars, live events, group consulting, private consulting, client support channels, templates, prompts, frameworks, documentation, and implementation materials.
We may update, modify, suspend, replace, or discontinue any part of our services at any time, subject to any separate written agreement that applies to a specific purchase.
3. Eligibility and Lawful Use
You agree to use our websites, services, programs, and materials only for lawful purposes and in accordance with these Terms.
You may not use our services to violate any law, infringe the rights of others, interfere with our websites or systems, attempt unauthorized access, copy or resell our materials, scrape or automate access without permission, upload harmful files, misrepresent your identity, or use our services in a way that creates legal, security, reputational, or operational risk.
We may suspend or terminate access to our services if we believe these Terms have been violated or if continued access creates risk to our company, clients, users, systems, or business.
4. Accounts, Access, and Registration
Some services may require registration, account access, login credentials, community access, or enrollment.
You agree that the information you provide will be accurate, current, and complete. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You may not share access to paid programs, private materials, membership areas, recordings, communities, or client resources with anyone who has not been authorized to access them. We are not responsible for losses caused by unauthorized use of your account, login credentials, devices, or systems.
5. Purchases, Payments, and Billing
Some services, programs, events, resources, or consulting engagements require payment.
By purchasing from us, you agree to provide accurate billing information and authorize us, our payment processors, or our authorized vendors to charge the applicable fees, taxes, and other amounts associated with your purchase.
Payments may be processed by third-party payment processors. We do not intentionally store full credit card numbers on our own systems.
Prices, offers, payment plans, and program details may change at any time unless otherwise stated in a separate written agreement.
6. Subscriptions, Renewals, and Cancellations
Some services may be offered on a recurring subscription, membership, monthly program, annual program, or payment-plan basis. Unless otherwise stated at checkout or in a separate written agreement, recurring services automatically renew at the stated billing interval until canceled.
You are responsible for canceling before your next billing date if you do not want to be charged for the next billing period. Cancellation stops future billing but does not automatically refund prior payments, partial months, unused time, missed sessions, or completed billing periods unless required by law or expressly stated in writing.
If your payment fails, we may attempt to reprocess the payment, contact you for updated billing information, suspend access, or terminate services. If you believe a charge was made in error, please contact us promptly at [email protected] so we can review the issue.
7. Refunds
Refund policies may vary depending on the specific service, program, event, offer, or agreement.
Unless a specific refund policy is stated at checkout or in a separate written agreement, all payments are non-refundable to the fullest extent permitted by law. This includes payments for consulting services, trainings, live events, intensives, digital materials, subscriptions, memberships, implementation support, and access to programs or resources.
We do not guarantee refunds for missed sessions, unused access, lack of participation, scheduling conflicts, failure to implement, dissatisfaction with results, or changes in your business priorities. Any approved refund is at our discretion unless otherwise required by law or stated in a separate written agreement.
8. Consulting, Programs, Events, and Trainings
Our services may be delivered through live calls, recorded trainings, group programs, private consulting, executive intensives, office hours, webinars, workshops, implementation sessions, messaging channels, or other formats.
You are responsible for attending scheduled sessions, participating appropriately, completing requested preparation, providing accurate information, and implementing decisions inside your own business.
We may reschedule, modify, replace, or cancel a session, event, training, or program component when reasonably necessary. If we make a material change to a paid service, we will make reasonable efforts to provide an appropriate substitute, credit, rescheduling option, or other remedy as determined by us or as required by law.
Access to calls, recordings, communities, documents, or materials may be limited by the terms of the specific program or purchase.
9. Client Responsibilities
Our work depends on your participation, judgment, and execution. You are responsible for providing accurate information, reviewing all recommendations and deliverables before using them, making final business decisions, ensuring your team follows your own policies and obligations, maintaining your own software accounts and systems, and confirming that any implementation complies with laws, contracts, platform rules, industry requirements, and internal policies that apply to your business.
We may provide strategy, education, frameworks, recommendations, examples, prompts, workflows, tools, and implementation support, but you remain responsible for your decisions, implementation, and results.
10. AI Tools, Automation, and AI Output
The Human in Charge helps businesses understand, implement, and govern AI inside real business workflows. As part of our services, we may use artificial intelligence tools, automation platforms, software systems, or related technologies to support consulting, training, documentation, workflow development, content creation, analysis, and service delivery.
AI-generated or AI-assisted outputs may contain errors, omissions, inaccuracies, outdated information, biased information, incomplete recommendations, or content that requires human review. You are responsible for reviewing, testing, validating, and approving all AI-assisted outputs before relying on them or using them in your business.
We do not guarantee that any AI tool, automation, workflow, prompt, system, or recommendation will produce a specific outcome, be error-free, remain available, or be appropriate for every use case.
You are responsible for ensuring that your use of AI, automation, third-party tools, and business systems complies with your own legal, contractual, privacy, security, employment, industry, and operational obligations.
Unless otherwise agreed in writing, we are not responsible for losses caused by your use of AI-generated content, unreviewed outputs, third-party tools, implementation choices, software failures, platform changes, or decisions made based on AI-assisted materials.
11. No Professional Advice
Our services, trainings, materials, and recommendations are provided for educational, informational, strategic, and business implementation purposes.
We do not provide legal, financial, tax, accounting, investment, employment, HR, cybersecurity, privacy, regulatory, medical, or other licensed professional advice unless expressly stated in a separate written agreement signed by us.
You should consult qualified professionals before making decisions that require specialized legal, financial, tax, accounting, regulatory, employment, cybersecurity, privacy, or compliance advice.
12. No Guarantee of Results
We do not guarantee any specific business outcome, financial result, revenue increase, cost savings, productivity gain, operational improvement, AI performance result, customer acquisition result, or return on investment.
Any examples, testimonials, case studies, projections, estimates, savings, revenue references, productivity improvements, or performance statements are illustrative only. They are not promises, guarantees, or typical results.
Your results depend on many factors outside our control, including your business model, market, offer, team, execution, tools, data quality, budget, leadership, timing, customer behavior, implementation quality, and external conditions.
You are solely responsible for your business decisions, implementation, and results.
13. Intellectual Property
All content, materials, frameworks, methodologies, models, systems, trainings, videos, slides, prompts, templates, worksheets, documents, recordings, resources, logos, names, trademarks, service marks, branding, website content, and other materials provided by us are owned by The Human in Charge LLC, Social Training Company Co., or our licensors unless otherwise stated in writing.
This includes the The Human in Charge brand, the Human in Charge Model, the H.U.M.A.N. in Charge system, training materials, consulting frameworks, AI implementation materials, prompts, templates, workflows, and related business methods.
When you purchase or access our services, you receive a limited, revocable, non-exclusive, non-transferable license to use the materials for your own personal or internal business use only.
You may not copy, reproduce, publish, distribute, sell, license, teach, train others on, create derivative products from, upload publicly, share externally, or commercially exploit our materials without our prior written permission. You also may not use our materials to create a competing product, service, training, consulting offer, certification, course, program, framework, or methodology.
All rights not expressly granted are reserved.
14. Client Materials and Deliverables
You retain ownership of business information, documents, data, brand assets, processes, workflows, and materials you provide to us, subject to any separate agreement.
You grant us permission to use client-provided materials as reasonably necessary to deliver services, provide consulting, develop workflows, create documentation, support implementation, analyze systems, communicate with you, and perform related business functions.
Unless otherwise stated in a separate written agreement, deliverables created during consulting, trainings, intensives, or implementation support may include a combination of your materials and our pre-existing frameworks, prompts, templates, methods, tools, and intellectual property.
You may use final deliverables provided to you for your own internal business purposes. You may not resell, publish, distribute, teach, license, or commercially exploit our underlying frameworks, templates, methods, prompts, or training materials unless we provide written permission.
15. Confidentiality
During our work together, you may share confidential business information with us, and we may share confidential information with you.
Each party agrees to use reasonable care to protect confidential information and to use it only for the purpose of the relationship or as otherwise permitted by these Terms or a separate agreement.
Confidential information does not include information that is publicly available, already known without restriction, independently developed, lawfully received from another source, or required to be disclosed by law.
Group programs, office hours, communities, webinars, and trainings may involve participation from other clients or attendees. You agree not to disclose confidential, private, or sensitive information shared by other participants. However, we cannot guarantee that other participants will maintain confidentiality in group settings, so you should use judgment when sharing information.
16. Feedback, Reviews, Testimonials, and Public Content
If you submit feedback, comments, reviews, testimonials, survey responses, suggestions, or other non-confidential content to us, you grant us permission to use, reproduce, edit, publish, display, distribute, and share that content for business, marketing, educational, or promotional purposes.
We will not intentionally use your name, likeness, business name, testimonial, or identifiable client story in public marketing materials without permission unless otherwise permitted by law or agreement.
You represent that any content you submit does not violate the rights of any third party, contain unlawful or abusive material, or misrepresent your identity or experience.
17. Recordings, Replays, and Content Use
We may record certain calls, webinars, trainings, meetings, events, office hours, or program sessions. Recordings, transcripts, chat messages, questions, comments, summaries, and related materials may be used for service delivery, internal training, documentation, quality improvement, client support, educational content, promotional purposes where permitted, and business operations.
You may not record, download, copy, distribute, publish, sell, or share our private calls, trainings, recordings, replays, materials, or participant discussions without written permission.
Replay access, recording availability, and content access may vary by program and are not guaranteed unless expressly stated in writing.
18. Community and Group Program Conduct
Some services may include access to group calls, communities, chats, forums, messaging platforms, office hours, or other shared spaces.
You agree to participate professionally and respectfully. You may not harass, threaten, abuse, spam, solicit, mislead, disrupt, exploit other participants, collect leads, promote unrelated offers, scrape participant information, or disclose private participant information without permission.
We may remove content, restrict participation, suspend access, or terminate access to any community, group program, event, or service if we believe your conduct violates these Terms or creates risk for us or other participants.
19. Third-Party Tools, Platforms, and Links
Our services may involve third-party tools, platforms, software, websites, payment processors, scheduling systems, webinar platforms, CRM systems, AI tools, automation tools, analytics providers, social platforms, communication tools, or other services.
We are not responsible for the availability, security, performance, policies, errors, outages, pricing, changes, or terms of third-party tools or platforms.
Your use of third-party tools may be governed by their own terms, privacy policies, data processing terms, fees, and security practices. You are responsible for reviewing and complying with those terms.
We may recommend tools, but we do not guarantee that any third-party tool will be suitable, secure, compliant, available, or error-free for your business.
20. Privacy
Your use of our websites and services is also governed by our Privacy Policy, which explains how we collect, use, share, retain, and protect personal information and business-related information.
By using our websites or services, you acknowledge that you have reviewed our Privacy Policy.
21. Service Availability and Changes
We make reasonable efforts to provide reliable access to our websites, programs, materials, and services, but we do not guarantee uninterrupted, error-free, or continuous availability.
Services may be unavailable due to maintenance, updates, technical issues, third-party outages, internet disruptions, security concerns, scheduling changes, business changes, or events outside our control.
We may modify, update, replace, suspend, or discontinue parts of our websites, services, content, tools, materials, programs, or access methods at any time, subject to any separate written agreement that applies.
22. Disclaimer of Warranties
To the fullest extent permitted by law, our websites, services, programs, materials, trainings, content, recommendations, deliverables, and resources are provided “as is” and “as available.”
We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, availability, security, reliability, or suitability for your business.
We do not warrant that our services will be uninterrupted, error-free, secure, free from harmful components, or that defects will be corrected.
23. Limitation of Liability
To the fullest extent permitted by law, The Human in Charge LLC, Social Training Company Co., and their owners, officers, employees, contractors, representatives, affiliates, service providers, and licensors will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or similar damages.
This includes lost profits, lost revenue, lost business opportunities, lost data, business interruption, loss of goodwill, reputational harm, software failures, system failures, implementation errors, AI output errors, third-party platform issues, or damages resulting from your decisions or use of our services.
To the fullest extent permitted by law, our total liability for any claim related to our services will not exceed the amount you paid to us for the specific service giving rise to the claim during the three months before the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.
24. Indemnification
You agree to indemnify, defend, and hold harmless The Human in Charge LLC, Social Training Company Co., and their owners, officers, employees, contractors, representatives, affiliates, service providers, and licensors from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of our websites, services, materials, or deliverables; your violation of these Terms; your violation of applicable law or third-party rights; information, content, data, or materials you provide to us; your implementation of recommendations, AI outputs, workflows, systems, or strategies; your use of third-party tools or platforms; or your business decisions, operations, products, services, customers, employees, contractors, or vendors.
We reserve the right to control the defense of any claim subject to indemnification, and you agree to cooperate with us.
25. Termination
We may suspend or terminate your access to our websites, services, programs, communities, materials, or accounts if we believe you have violated these Terms, failed to pay amounts owed, created risk for us or others, misused our materials, disrupted our services, or engaged in unlawful, abusive, or inappropriate conduct.
Upon termination, your right to access or use the applicable services and materials will immediately cease.
Sections of these Terms that by their nature should survive termination will survive, including payment obligations, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, governing law, and dispute provisions.
26. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.
Unless otherwise required by law or agreed in writing, any dispute arising out of or relating to these Terms, our websites, services, programs, materials, or relationship will be brought in the state or federal courts located in Texas. You agree to the personal jurisdiction and venue of those courts.
Before filing a legal claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally. We will make reasonable efforts to work with you in good faith.

We may update these Terms from time to time.
